Sale of SRS Distribution

SRS Distribution Inc. ("SRS") announced on 28 March 2024 that it has entered into a definitive agreement to be acquired by The Home Depot.

·    As of 31 January 2024, SRS represented 5.2% of Princess' NAV.

·    Princess will value its stake in SRS at approximately EUR 67 million[1] as of 31 March 2024. This compares to a carrying value of EUR 51.4 million at 31 January 2024. The uplift of approximately EUR 16 million¹ corresponds to 1.6% of Princess' NAV as of 31 January 2024.

·    Princess invested EUR 14.1 million in SRS in June 2018 and has already received EUR 12.9 million of distributions until 31 January 2024; upon closing of the sale transaction, total distributions received by Princess are expected to amount to approximately EUR 83 million¹.

·    Completion of the transaction is expected by the end of 2024 and is subject to regulatory approvals and other customary closing conditions.
