Bluefield Solar Income Fund Limited
Result of Annual General Meeting
Bluefield Solar Income Fund Limited (the "Company") is pleased
to announce that at the Annual General Meeting ("AGM") of the
Company held at 10.00 am, 17 November 2016, each of the resolutions
were duly passed without amendment.
In accordance with LR 9.6.18, details of those resolutions
passed, which were not ordinary business of the AGM, follow:

*A vote withheld is not a vote in law and is therefore not
counted towards the proportion of votes "for" or "against" the
Resolution.
Resolution 12
That, in substitution for any existing disapplication authority
in force as at the date of this Annual General Meeting, the
Directors be and are hereby authorised to allot, issue and/or sell
equity securities for cash as if article 6.2 of the Articles did
not apply to any such allotment, issue and/or sale, provided that
this power shall be limited to the allotment, issue and/or sale of
up to 10 per cent. of the Ordinary Shares in issue as at the date
of this Annual General Meeting for the period expiring at the date
falling 15 months after the date of the passing of this resolution
or the conclusion of the next annual general meeting of the
Company, whichever is earlier (unless previously renewed, varied or
revoked by the Company in a general meeting), save that the Company
shall be entitled to make offers or agreements before the expiry of
such power which would or might require equity securities to be
allotted and issued after such expiry and the Directors shall be
entitled to allot and issue equity securities pursuant to any such
offer or agreement as if the power conferred hereby had not
expired.
Resolution 13
That, in accordance with Section 42 of the Law, the regulations
contained in the document be and are hereby approved and adopted as
the new articles of incorporation of the Company in substitution
for and to the exclusion of the existing articles of incorporation
of the Company.

The Company is a Guernsey-registered investment company focusing
on large scale agricultural and industrial solar assets. It had an
initial public offering of shares on the main market of the London
Stock Exchange in July 2013. The Company currently has over 369
