EXPLANATORY NOTE

On March 30, 2023, Best Buy Co., Inc. (the “Company”) filed a Current Report on Form 8-K (the “Original 8-K”) under Item 5.02(d) disclosing that the Board of Directors (the “Board”) of the Company elected Sima D. Sistani as a director, effective March 28, 2023. Committee assignments for Ms. Sistani were not fully determined as of the filing of the Original 8-K.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 8, 2023, the Board appointed Ms. Sistani to its Compensation and Human Resources Committee. Ms. Sistani’s committee appointment is effective as of December 8, 2023.
