Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On May 25, 2023, The Dixie Group, Inc. awarded performance-based options to certain of its key employees and executive officers pursuant to the Company’s Omnibus Equity Incentive Plan. The options have a term of five years, after which all unexercised options expire. To become exercisable, the options must be held a minimum of two years from the date of grant and the Company’s common stock must achieve a minimum trading price of $3.00 per share for five consecutive trading days during the term of the option. All options have a strike price of $1.00 per share which equals 10% over Fair market value on date of grant. Fair market value was determined to be $.90, per share, the average high and low trading price of the Company's common stock on May 24, 2023.
