Issue of Shares

Keywords Studios, the international provider of creative and technology-enabled solutions to the global video games and entertainment industries, today announces the issuance of 124,221 new ordinary shares to a vendor of Smoking Gun Interactive, Inc. ("Smoking Gun") in respect of the share element of contingent consideration due based on the performance of Smoking Gun in the first-year post completion.

Application has been made to the London Stock Exchange for the admission of these 124,221 new ordinary shares to trading on AIM. Admission of the new shares is expected to take place at 8:00am on 5 January 2024.

The Company's total issued share capital following admission will consist of 79,411,457 ordinary shares of one pence each with one voting right per share. There are 408,485 Ordinary Shares in the Company's Employee Benefit Trust ("EBT"), and the EBT has waived its right to exercise its voting rights and to receive dividends in respect of these Ordinary Shares.

Therefore, the number of Ordinary shares with voting rights following admission will be 79,002,972. This figure may be used by shareholders as the denominator for the calculations by which they can determine if they are required to notify their interest in, or a change to their interest in, the Company following admission .
