Results
of Operations and Financial Condition.

On
November 16, 2020, U.S. Energy Corp. (“U.S. Energy” or the “Company”) issued a press release
regarding its financial results for the three months ended September 30, 2020. A copy of the press release, which includes a summary
of such financial results, is furnished as Exhibit 99.1 to this Form 8-K.
