Item 1.01 Entry into a Material Definitive Agreement.

Effective March 5, 2024, Laureate Education, Inc. (the “Company”) entered into a Stock Purchase Agreement (the “Purchase Agreement”) with each of ILM Investments Limited Partnership, Torreal Sociedad de Capital Riesgo S.A., Pedro del Corro García-Lomas, Ana Gómez Cuesta and José Diaz-Rato Revuelta (each, a “Seller” and together, the “Sellers”), pursuant to which the Company agreed to purchase an aggregate of 2,606,507 shares of the Company’s common stock from the Sellers at a purchase price of $12.62 per share for an aggregate purchase price of $32,894,118 (the “Purchase Price”). This repurchase is pursuant to the Company’s existing $100 million share repurchase program that was previously announced on February 22, 2024.
