Item 1.01. Entry into a Material Definitive Agreement.
On April 20, 2020, IKONICS Corporation (the “Company”) received a loan from BMO Harris Bank National Association (the “Lender”), in the aggregate principal amount of $1,214,500.00 (the “Loan”) pursuant to the Paycheck Protection Program (the “PPP”) administered by the United States Small Business Administration under the Coronavirus Aid, Relief, and Economic Security Act enacted on March 27, 2020 (the “CARES Act”).
The Loan, which was in the form of a Promissory Note dated April 18, 2020 issued by the Company as Borrower (the “Note”), matures on April 18, 2022 and bears interest at a rate of 1.00% per annum, payable monthly commencing on November 18, 2020. The Note may be prepaid by the Company at any time prior to maturity. The Note contains customary events of default relating to, among other things, payment defaults or breaches of the terms of the Note. Upon the occurrence of an event of default, the Lender may require immediate repayment of all amounts outstanding under the Note.
Funds from the Loan may only be used for payroll costs, costs used to continue group health care benefits, mortgage interest payments, rent, utilities, and interest on other debt obligations incurred before February 15, 2020. The Company intends to use the entire Loan amount for qualifying expenses. Under the terms of the PPP, certain amounts of the Loan may be forgiven if they are used for qualifying expenses as described in the CARES Act. However, no assurance is provided that the Company will obtain forgiveness of the Loan in whole or in part.
