On June 27, 2017, senior management of Caesars Entertainment Corporation (
CEC
) will begin using the investor
presentation attached as Exhibit 99.1 (the
Investor Presentation
) to this report in connection with meetings with existing and prospective investors. The Investor Presentation, which includes updates regarding expected financial
results, is incorporated into this Item 8.01 by reference.

Pursuant to the Amended and Restated Agreement and Plan of Merger, dated as of July 9, 2016, between CEC and Caesars Acquisition Company
(
CAC
), as subsequently amended on February 20, 2017 (as amended, the
Merger Agreement
