The Rank Group Plc (the "Company") confirms that at the Annual
General Meeting held earlier today all the resolutions proposed to
the meeting were duly approved by the Company's shareholders.
Full details of the proxy votes lodged at the meeting and
beforehand by post and electronically for each of the resolutions
proposed to the meeting are available on the Company's corporate

In accordance with paragraph 9.6.2 of the Listing Rules, copies
