Change to Nominal Share Value

Poundland Group plc (the "Company"), Europe's biggest single price discount retailer, announces that on 14(th) May, 2014, the Company reduced its share capital, via a court approved process. The nominal value of each share was reduced from GBP1.70 to 1p. Following the reduction, the nominal value of share capital is GBP2.5 million.

In accordance with Rule 5.6.1R of the Disclosure and Transparency Rules, the Company announces that its total issued share capital at 26th September, 2014 comprises 250,000,000 ordinary shares of 1 pence each, all of which carry one voting right per share. There are no shares held in treasury.
