Item 8.01. Other Events.

On April 11, 2008, SigmaTel, Inc. (“SigmaTel”) issued a press release in which it announced that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, with respect to SigmaTel’s proposed merger with a wholly owned subsidiary of Freescale Semiconductor, Inc., expired on April 10, 2008 at 11:59 p.m. Eastern time. A copy of the press release is attached hereto as Exhibit 99.1.
