On
May 20, 2020, ProPhase Labs, Inc. (the “Company”) held its Annual Meeting of Stockholders (the “Annual Meeting”).
As of the record date of April 9, 2020, the Company had 11,591,648 shares of common stock, par value $0.0005 per share (the “Common
Stock”), outstanding and entitled to vote at the Annual Meeting. The holders of 11,131,169 shares of Common Stock were represented
in person or by proxy at the Annual Meeting, constituting a quorum. At the Annual Meeting, the Company’s stockholders voted
on the following two proposals and cast their votes as described below.
