On July 18, 2019, Joerg Windisch, Ph.D., notified Outlook
Therapeutics, Inc. (the “
Company
”) of his decision to resign, effectively immediately, as a Class II member
of the Company’s Board of Directors. Dr. Windisch indicated that his decision to resign from the Board was not a result of
any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
