Explanation of Responses:
( 1)  Each restricted stock unit (RSU) represents a right to receive one deferred stock unit (DSU). The DSUs are convertible on a one-for-one basis into shares of ECD common stock.
( 2)  Reflects the grant of RSUs to the reporting person as a portion of the 2012 outside director compensation granted under ECD's 2010 Omnibus Incentive Compensation Plan. The RSUs vest ratably over the director's one-year term and convert into DSUs upon the last day of the director's one-year term. DSUs will be paid out as common stock on a one-for-one basis upon the termination of the reporting person's status as a director of ECD.
