The Company is in the process of completing the evaluation of the interpretation and accounting for certain complex features of the Class A common stock and warrants that were issued by the Company in its initial public offering. As a result, the Company is unable to complete and file its Quarterly Report on Form 10-Q for the quarter ended September 30, 2021 without unreasonable effort and expense.
