Pursuant to our obligations under the Listing Rules, we have received a
notification from M&G Investment Management Limited dated 8th January 2001,
advising that Prudential plc and certain of its subsidiaries now hold an
interest in 7,984,234 ordinary shares of AMEC plc, representing 3.48% of the
issued capital of that class.

M&G had previously advised of an interest of 11,284,237 (4.92%) ordinary
shares held by Prudential on 2nd January 2001.
