Australian Vintage Ltd. (AVG.AU) said Monday that it and Constellation Brands (STZ) have lodged a submission with the Australian Competition & Consumer Commission for informal merger clearance.

The submission was made ahead of any binding agreement between the two parties, but done so the ACCC would have sufficient time to consider the competition issues.

Australian Vintage said in late November that talks with wine-industry giant Constellation Brands about a potential merger of their Australian and U.K. operations were focused on Australian Vintage taking a controlling stake in the combined business.

Australian Vintage said talks remain ongoing and still may not lead to a transaction.
