Stock Exchange Announcement

earthport plc ("earthport" or the "Company")

Issue of Shares and Change in Shareholding

As the result of the placing announced on 20th December 2004 and exercise of 
options there are now 565,133,738 shares in issue.

These 14,990,272 new Ordinary 2.5p Shares will rank pari passu in all respects
with the existing Ordinary Shares in issue.  Application is being made for the
new Ordinary Shares to be admitted for trading on the Alternative Investment
Market of the London Stock Exchange and dealings are expected to commence on
24th December 2004.

Separately, earthport has been notified that as a result of recent sales Tspeak
Limited does not have a declarable holding in the Company.
