REMOVAL OF A AND B CLASS SHARES AND TOTAL VOTING RIGHTS

The Company is pleased to announce that, further to an order (the "Court Order") of the High Court of Justice of England and Wales made on 28 March 2023 sanctioning the resolutions passed by the Company in general and class meetings held on 9 February 2023 and 1 March 2023, cancelling and extinguishing its A and B Class Shares of 1 penny each, and following delivery to, and the registration by, the Registrar of Companies of the Court Order on 30 March 2023, the cancellation and extinguishment of the A and B Class Shares became effective on 30 March 2023.

Following the cancellation and extinguishment of all the A and B Class Shares, the listing of the A and B Class Shares was removed from the Official List of the Financial Conduct Authority ("FCA") and from trading on the London Stock Exchange, with effect from 8.00 am on 13 April 2023.

Following the cancellation and extinguishment of the A and B Class Shares, the issued share capital and total voting rights of the Company is now 51,109,694 Venture Class Shares.

This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

In the days following the cancellation, the Company intends to despatch cheques or procure that funds are transferred by BACs transfer to A and B Class Shareholders.
