Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officer.
 
 
On September 29, 2023, Prime Meridian Holding Company and Prime Meridian Bank Executive Vice President and Chief Banking Officer, Kyle D. Phelps, resigned from those positions. As a result, his Employment Agreement and Defined Contribution Agreement have terminated.
