Trelawney Mining and Exploration Inc. ("Trelawney" or the "Company") (TSX
VENTURE:TRR)(FRANKFURT:RTW) is pleased to announce that it has closed its
previously announced bought deal public offering, pursuant to which the Company
sold an aggregate of 5,520,000 flow-through common shares (the "Flow-Through
Shares") at a price of CDN$4.70 per Flow-Through Share, for aggregate gross
proceeds of CDN$25.9 million (the "Offering"), to a syndicate of investment
dealers led by RBC Capital Markets Inc. and including Jennings Capital Inc.,
CIBC World Markets Inc., Raymond James Ltd., Stifel Nicolaus Canada Inc. and BMO
Capital Markets (the "Underwriters").


The Underwriters were paid an aggregate cash fee of $1,297,200, representing 5%
of the gross proceeds of the Offering.
