ITEM 2.02   Results of Operations and Financial Condition
 
On October 22, 2009, Southern Copper Corporation, or SCC, issued a press release announcing financial results for the quarter and nine month period ended on September 30, 2009.  In this press release, SCC also announced that, on October 19, 2009, its Board of Directors authorized a dividend of U.S.¢18 per share payable on November 24, 2009, to shareholders of record at the close of business on November 5, 2009.  A copy of this press release is attached hereto as Exhibit 99.1.
