Explanation of Responses:
( 1)  This option is scheduled to vest, subject to the reporting person's continued employment with the issuer through the applicable vesting date, as to 25% of the underlying shares on the first anniversary of June 2, 2016 (the "Date of Grant") and thereafter as to 6.25% of the underlying shares on each quarterly anniversary of the Date of Grant such that the option will be fully vested on the fourth anniversary of the Date of Grant. In the event of a change in control of the issuer, this option will become fully vested and exercisable.
