Item 8.01 Other Events.

On February 16, 2024, Old Dominion Freight Line, Inc. issued a press release announcing that its Board of Directors approved a two-for-one stock split, which will be effected in the form of a stock dividend. The new shares will be distributed on March 27, 2024, to shareholders as of the close of business on the record date, March 13, 2024. The press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

OLD DOMINION FREIGHT LINE DECLARES

TWO-FOR-ONE STOCK SPLIT

 

THOMASVILLE, N.C. – (February 16, 2024) – Old Dominion Freight Line, Inc. (Nasdaq: ODFL) today announced that its Board of Directors has approved a two-for-one stock split of its common stock. The split will be effected by issuing one additional share of common stock for every share of common stock held. The additional shares will be distributed by Computershare Trust Company, N.A., the Company’s transfer agent, on March 27, 2024, to shareholders of record as of the close of business on the record date of March 13, 2024. Upon completion of the split, the Company will have approximately 217,600,000 shares outstanding.
