could not be filed within the prescribed time period.
ESPORTS ENTERTAINMENT GROUP, INC. (the “Registrant”)
was unable, without unreasonable effort or expense, to file its Quarterly Report on Form 10-Q for the period ended March 31, 2022 (the
“Quarterly Report”) by the May 16, 2022 filing date applicable to smaller reporting companies due to a delay experienced
by the Registrant in completing its condensed consolidated financial statements and other disclosures in the Quarterly Report.
As a result, the Registrant is still in the process of compiling required information to complete the Quarterly Report for the period
ended March 31, 2022 to be incorporated in the Quarterly Report.

may be significant changes to results of operations as the Company still evaluates the potential
for goodwill and indefinite-lived intangible assets for impairment. The Company expects that
it will record a significant impairment charge on goodwill and indefinite-lived intangible
assets across multiple reporting units. The Company is further evaluating a make-whole provision
within its Senior Convertible Note Agreement and may record a material liability related
to the make-whole provision should the Company be unable to amend its debt agreement or otherwise
secure a waiver of certain covenants.
