Item 8.01. Other Events.

 

On June 24, 2022, Symbolic Logic, Inc. (the “Company”) announced the preliminary results of its modified “Dutch auction” tender offer to purchase with cash up to $9.6 million of shares of its common stock, at a price per share of not less than $1.30 and not more than $1.55. The Company expects to announce the final results on Tuesday, June 28, 2022 and purchase the accepted shares thereafter.

 

Furnished as Exhibit 99.1 and incorporated herein by reference is a copy of the press release announcing the completion of the tender offer.
