BOARD CHANGES - AWG RESTRUCTURES IMB MANAGEMENT

AWG Plc announces that, following the CEO's review of all group businesses,
Euan McEwan, Executive Director and Chief Executive of the Infrastructure
Management Business (IMB) will be leaving the Group. Euan McEwan has resigned
as a Director with immediate effect.

David Tydeman has been appointed as Chief Operating Officer of the IMB with
effect from 1 May 2004 and will report directly to Jonson Cox, the Group Chief
Executive.

To further strengthen the management of the IMB, Rod Holdsworth has today
joined as the division's Finance Director.

AWG Plc issued a Trading Statement on 30 March 2004. There have been no
material changes to the performance reported in that statement.

David Tydeman (49)

David Tydeman is currently leading the strategic review of AWG for Jonson Cox.

He is a senior consultant (currently Vice President, head of transportation,
travel and infrastructure management with Cap Gemini Ernst & Young), and has a
history of line management posts with technical services companies.

David started his career as a marine surveyor at Lloyds Register of Shipping,
then working for Occidental, Hamilton Brothers and British Gas on large North
Sea construction projects. In 1995 he became Technical Director at the American
Bureau of Shipping.

In 1997 he was recruited by Vickers (later Rolls Royce) and became the Managing
Director of a global maintenance business unit.

Rod Holdsworth (38)

Rod Holdsworth was group Financial Controller at Alfred McAlpine Plc from 1997
to 2000 and returned to Alfred McAlpine as interim Finance Director of the �350
million Capital Projects division in 2003.

Rod Holdsworth is a Price Waterhouse qualified chartered accountant with 13
years' commercial experience. Leaving Price Waterhouse in 1991 he spent nearly
seven years with Smiths Group plc, latterly for an �80 million turnover
international business. Between 2000 and 2003 he was Finance Director of Whitby
Bird & Partners Ltd, a leading engineering consultancy.
