Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On March 9, 2018, Richard J. Nicholas, Senior Vice President – Chief Financial Officer of Avangrid, Inc. (the “Corporation”), provided notice of his intention to retire from the Corporation, effective July 7, 2018. The Corporation will launch a search for Mr. Nicholas’ successor.
