Exercise of Options and TVR

The Company has allotted and issued 180,000 ordinary shares of 40 pence each in the capital of the Company following the exercise of options held under the Titan Europe Plc Unapproved Share Option Scheme 2004 on behalf of Morry Taylor, Non-Executive Chairman of the Group. The exercise of options was approved and disclosed on 9 October 2012 and the new shares were issued on 10 October 2012 at a price of 40 pence per share.

Application has been made to the London Stock Exchange for admission of the 180,000 new ordinary shares of 40p each to be issued pursuant to the exercise of options to be admitted to trading on AIM. Admission is expected to occur on 16 October 2012.

Following this issue Morry Taylor has a beneficial interest in 180,000 ordinary shares in the Company representing 0.21 per cent of the issued ordinary share capital of the Company.

For the purposes of the Disclosure and Transparency Rules, Titan Europe's total issued share capital following the exercise of options consists of 87,822,988 ordinary shares of 40 pence each. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Titan Europe, under the Disclosure and Transparency Rules.
