DIRECTOR CHANGES

Director changes

As set out in the offer document issued by Minerva Bidco Limited ("Minerva") on 19 December 2011 (the "Offer Document"), the non-executive directors of the Company (namely Steve Bodger, Christopher Baker, Gillian Berkmen and Jessica Burley (the "Non-Executive Directors")) undertook to resign upon the Offer by Minerva Bidco Limited becoming unconditional in all respects. Following the announcement by Minerva earlier this morning that the Offer is now unconditional, the resignation of the Non-Executive Directors is therefore effective immediately.
