Item 8.01 Other Events.

 

On April 11, 2023, Merion, Inc. (the “Merion”) announced that it entered into a Letter of Intent (the “LOI”) with Ares Pink Corporation, a Delaware corporation (“Ares Pink”), pursuant to which, Merion plans to enter into a business combination with Ares Pink (“Acquisition”). On October 11, 2023, the parties terminated the non-binding Letter of Intent regarding the potential Acquisition.
