Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 13, 2020, Robert Gamgort, a member of the Board of Directors (the “Board”) of Wayfair Inc. (the “Company”), notified the Company that he will not stand for re-election to the Board for the 2020-2021 term. Mr. Gamgort's current term ends on the day of the Company's 2020 annual meeting of stockholders that is scheduled to be held on May 12, 2020. Mr. Gamgort will serve the remainder of his term. Mr. Gamgort’s decision was not related to a disagreement with the Company over any of its operations, policies or practices.
