Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 25, 2023, Kevin B. Kramer resigned as a member of the board of directors of the registrant. Mr. Kramer’s resignation did not result from any disagreement with the registrant and followed his appointment on October 25, 2023 as a director of Kronos Worldwide, Inc., one of the registrant’s publicly traded subsidiaries.
