Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On September 17, 2019, Orion Group Holdings, Inc. (the "Company") announced effective October 1, 2019, the appointment of Margaret M. Foran as a new member of the Board of Directors, and, the retirement, effective December 31, 2019, of J. Michael Pearson as a board member. With the timing of the appointment of Ms. Foran and Mr. Pearson's retirement, the Company's Board of Directors will temporarily expand from seven (7) to eight (8) members. For additional details, please refer to the attached press release.
