( 1)  These shares were tendered to Transfer Holdings, Inc. (the "Purchaser") pursuant to Purchaser's offer to purchase all of the outstanding shares of the Issuer at a price of $24.50 per share, net to the seller in cash, without interest and less any applicable withholding taxes, subject to the terms described in the Offer to Purchase for Cash filed with the Securities and Exchange Commission on May 11, 2011 and in the related Letter of Transmittal, together with any amendments or supplements thereto (collectively, the "Offer"), and the Agreement and Plan of Merger, dated as of May 2, 2011, by and among PPR S.A., Transfer Holdings, Inc. and Volcom, Inc.
