Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.
On August 26, 2010, Pet DRx Corporation (the “

”) received a Nasdaq Stock Market (“
Nasdaq
”) Staff Determination Letter notifying the Company that it is not in compliance with the requirements for continued listing under Nasdaq Marketplace Rule 5550(b)(1) due to its failure to maintain a minimum of $2,500,000 in stockholders’ equity.
