Explanation of Responses:
( 1)  This option, the unvested portion of which was scheduled to vest in two equal annual installments on April 2, 2008 and 2009, was canceled pursuant to that certain Agreement and Plan of Merger among the issuer, Agrium Inc. and Utah Acquisition Company in exchange for a cash payment for each option share in an amount equal to the excess of the "merger consideration" (defined in the merger agreement as $39.00 per share) and the per share exercise price.
