Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On December 18, 2007, the Board of Directors of SigmaTel, Inc. (“SigmaTel”) approved amendments to Sections 4.2, 4.3 and 4.4 of SigmaTel’s bylaws. These
amendments help ensure that SigmaTel’s securities are eligible for participation in the Direct Registration System administered by the Depository Trust Company. The Direct Registration System allows investors to have securities registered in
their names without the issuance of physical certificates. The bylaw amendments took effect upon adoption by SigmaTel’s Board of Directors.

A copy of SigmaTel’s amended and restated bylaws is attached hereto as Exhibit 3.1 and is Incorporated herein by reference.
