The claims concern whether the SuccessFactors Board of Directors
breached their fiduciary duties to SuccessFactors stockholders by
failing to adequately shop the Company before entering into this
transaction and whether SAP AG is underpaying for SuccessFactors
shares, thus unlawfully harming SuccessFactors stockholders. In
