Explanation of Responses:
( 1)  Disposed of pursuant to the merger contemplated by the amended and restated merger agreement (the "Merger Agreement") among Palomar Medical Technologies, Inc., Cynosure, Inc. ("Cynosure") and Palomar Medical Technologies, LLC (formerly Commander Acquisition, LLC). Pursuant to the Merger Agreement, each of these shares of common stock of Palomar Medical Technologies, Inc. was converted into the right to receive (i) a cash amount equal to $6.825 and (ii) 0.2819 shares of Cynosure Class A common stock having a value of $6.6106 based on the closing price of Cynosure Class A common stock on The NASDAQ Stock Market LLC on June 24, 2013, the effective date of the merger.
