( 1)  This grant was for 5,000 restricted stock units, each representing the right to receive one share of the Company's common stock, one-fourth of which will vest on each of October 21, 2008, January 21, 2009, April 21, 2009 and July 21, 2009.
( 2)  Following the transaction reported on this Form 4, Mr. Sarnoff held (a) 11,000 shares of the Company's common stock and (b) 10,000 restricted stock units representing the right to receive the Company's common stock.
