At the Extraordinary General Meeting of the Company, held on 20
June 2019, all resolutions were approved and agreed:
Special resolutions:
1. To reclassify the Shares and amend the Articles of
Incorporation for the purposes of implementing the Scheme.
2. To authorise the implementation of the Scheme by the Liquidators.
3. To authorise the appointment of the Liquidators and place the
Company into members' voluntary liquidation.
Extraordinary resolution:
4. To empower the Liquidators to divide the whole or any part of
the Company's assets among the Shareholders in specie.
