GREENWICH LOAN INCOME FUND LIMITED ("GLIF" OR "THE COMPANY")

ADMISSION TO THE OFFICIAL LIST OF THE CHANNEL ISLANDS STOCK EXCHANGE ("CISX")

COMPLETION OF ACQUISITION OF ASSET MANAGEMENT INVESTMENT COMPANY PLC ("AMIC")

Further to the joint announcement from the boards of GLIF and AMIC on 28 January 2011, the board of GLIF is pleased to announce the completion of the acquisition of AMIC and the admission of the Enlarged Group to the Official List of the CISX at 8.00 a.m. today.

The Company also announces that the 11,333,610 New GLIF Shares issued under the Share Alternative were admitted to trading on AIM at the same time.

Total Voting Rights

GLIF confirms that following the issue of the 11,333,610 New GLIF Shares under the Share Alternative, the Company's capital now consists of 98 633,610 ordinary shares of no par value. There are no ordinary shares held in treasury.

The above figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FSA's Disclosure and Transparency Rules.

Terms used in this announcement shall have the same meaning as set out in the GLIF Circular and Prospectus Equivalent Document.
