The matters set forth in, or incorporated by reference in, Item 7.01, below, to the extent they relate to results of operations and financial condition of American International Holdings Corp. (the “Company”), for a completed quarterly period, are incorporated by reference in this Item 2.02.

 

Item 7.01 Regulation FD Disclosure.

 

On April 3, 2023, the Company issued a press release announcing the amount of oil production realized by the Company’s newly acquired wholly-owned subsidiary, Cycle Energy Corp., for the quarter ended March 31, 2023. A copy of the press release is attached hereto as Exhibit 99.1, and is incorporated into this Item 7.01 by reference.
