Explanation of Responses:
( 1)  These shares were withheld to satisfy the reporting person's tax withholding obligations upon the vesting of restricted stock units on July 15, 2011.
( 2)  Sale of these shares were made by Mr. Kim pursuant to a Rule 10b5-1 plan adopted on March 11, 2011.
( 3)  Each restricted stock unit represents the right to receive one share of common stock of GT Solar International, Inc.
( 4)  The restricted stock units vested one fourth on December 15, 2009, and the balance vest in equal monthly installments of 1/48th of total each month subsequent to December 2009. Shares of common stock are delivered to the reporting person upon vesting.
( 5)  Of these options, one fourth vested on June 2, 2011, the first anniversary of the date of grant, and the balance vest in equal monthly installments of 1/48th of total each month subsequent to June 2011.
