On October 27, 2021, Sanderson Farms, Inc, a Mississippi business corporation (the “Company”), announced that it has received regulatory approvals from each of the Ministry of Commerce of the People’s Republic of China and the Federal Economic Competition Commission of Mexico in connection with the transactions contemplated by the Agreement and Plan of Merger, dated as of August 8, 2021 (the “Merger Agreement”), by and among the Company, Walnut Sycamore Holdings LLC, Sycamore Merger Sub LLC, and solely for purposes of certain provisions specified therein, Wayne Farms LLC. The transaction is expected to close in the fourth calendar quarter of 2021 or in the first calendar quarter of 2022, and is subject to regulatory approvals and other customary closing conditions.
