SAN DIEGO, Sept. 13, 2024 /PRNewswire/ -- Nuvve Holding Corp. ("Nuvve" or the "Company") (Nasdaq: NVVE), a green energy technology company that provides a globally-available, commercial vehicle-to-grid (V2G) technology platform that enables electric vehicle (EV) batteries to store and resell unused energy back to the local electric grid and provides other grid services, today announced that it will effect a 1-for-10 reverse stock split of its common stock, to be effective as of 5:00 p.m. Eastern Time on Monday, September 16, 2024. Nuvve's common stock will begin trading on a split-adjusted basis commencing upon market open on Tuesday, September 17, 2024.

Following the reverse stock split, the Company's common stock will continue to trade on the Nasdaq Capital Market under the symbol "NVVE" with the new CUSIP number, 67079Y308. The CUSIP number for the Company's publicly traded warrants will not change.

At the effective time of the reverse stock split, every 10 shares of Nuvve's issued and outstanding common stock will be automatically converted into one issued and outstanding share of common stock without any change in the par value of $0.0001 per share. The reverse stock split will reduce the number of issued and outstanding shares of the Company's common stock from approximately 6.5 million shares to approximately 0.7 million shares. The total authorized number of shares will not be reduced. Proportional adjustments will be made to the number of shares of common stock issuable upon exercise or vesting of the Company's outstanding stock options, restricted stock units, and warrants, as well as the applicable exercise or conversion prices, and to the number of shares issuable under the Company's equity incentive plans and other existing agreements. No fractional shares will be issued in connection with the reverse stock split, and fractional shares resulting from the reverse stock split will be rounded up to the nearest whole share.

It’s really sad to see what has happened to so many companies in the alt energy/energy efficiency fields…. EXROF, PLUG, FCEL, list is endless…

Once the criminal hedge funds are done stealing all they can from the clueless foolish scared little piker sellers,and then the market manipulators close their corrupt short positions,there could be a spike back up over a buck.

OR - maybe a southern Cartel wants to buy out the company? OR - maybe some Saudi Arabia oil conglomerate wants to monopolize the EV bidness in U.S. cities. The speculative "OR's" can be endless I suppose, but one thing I'm quite convinced of: There's SAFER places to put one's hard earned cash to speculate with. Least for me.

I was thinking the same thing -- cancel the offering shortly after the open this morning and attempt to trigger a short squeeze.

Definitely major manipulation been controlling its price levels, perhaps they should contact the SEC about it, if they were smart they would cancer the offer,that would squeeze the rat MM's and blow them out in a big way.

Actually - I'm not CONVICED the company is at any fault either. Something tells me there's a constant HUGE short against NVVE and I would look no further than an MM or two has a vendetta against the company. And/or maybe a hedge fund company or two. Or ....????

About a year ago roughly the company hired a firm to investigate illegal shorting against NVVE. That may have set "WAR" in motion to keep a constant lid on NVVE ... who can know?

At any rate - something just isn't making sense. Stock should have been up to $2.00 today by close, but keeps slipping backward consistently. Potential buyers aren't confident in taking positions.

Maybe they'll call off the offering tomorrow and this will bring in some fresh buyers. Or maybe it wouldn't do jack-diddly.

Whatever - I'll sit on the sidelines and have "sitters remorse" while everyone can make tons of profit.

On the watch - $NVVE could make a big push higher today after falling 70% for no reason yesterday, the stock has a great structure under 1 million float. the news is very good and offerring is at 2 dollars. So the stock is completely oversold and undervalued and yesterday after-hours a lot of buyers even came in and closed after-hours at $1.41 // I'm ready to jump in and enjoy a wonderful recovery. I hope $NVVE goes through the $2 like butter

How can you be so sure that there will be a recovery tomorrow? just because the stock fell 60% for no reason? and the stock has good news / offering at $2 and could actually trade in double digits with this cute structure, but the crash is inexplicable to me and for that reason I have no confidence that a logical recovery will occur because the market is crazy and It always turns out differently = than is logical or than most people think, imo

Had to be a HUGE short this morning on NVVE to bring it as low as it currently is. I see that as a HUGE POSITIVE for long value investors. Wish I had more cash to take advantage of these prices! Grrrrrrrrrrrrrrrrrrrrr ....

Can people be so stupid when fantastic news comes out and also an offer at $2, then the share $NVVE is trading at $1.16 and has landed and the offer was at $2... so that can be understood Who wants to but I don't and I'm now a buyer because that corresponds to all logic (50% below the offering price, with a fantastic structure and a float under a million and good news to come too) 🥳
