Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.


On January 28, 2019, Craig Fenrick, who is Executive Vice President - Energy Operations of Madison Gas and Electric Company (the "Company"), informed the Company that he plans to retire, effective April 30, 2019. Mr. Fenrick has been employed by the Company for approximately 36 years and has served as an Assistant Vice President since 2006, a Vice President since 2012, and Executive Vice President since 2015, where Mr. Fenrick has been responsible for Electric and Gas Operations.
