Item 4.02. Non-Reliance on Previously Issued Financial Statements
or a Related Audit Report or Completed Interim Review.
On November 11, 2019, the Audit
Committee of the Board of Directors (the “Committee”) of JanOne Inc. (the “Company”), in consultation
with management, concluded that the Company’s previously issued financial statements for the fiscal year ended December
29, 2018 (which includes the financial statements for the fiscal year ended December 30, 2017) and the quarterly period ended
March 30, 2019 (collectively, the “Restated Periods”) should no longer be relied upon because of
omitted disclosures related to certain lease agreements with third party landlords in which the Company either remains the
counterparty, is a guarantor, or has agreed to remain contractually liable under the lease, following the sale of
ApplianceSmart, Inc. on December 30, 2017. The omitted disclosures described above will result in the restatement of our
financial statements for the Restated Periods and the interim periods within the year ended December 29, 2018.
The Committee has discussed the
matters disclosed herein with SingerLewak LLP, the Company’s former independent registered public accounting firm for
the Restated Periods, and WSRP LLC, the Company’s current independent registered public accounting firm.
